These Terms of Service ("Terms") govern your access to and use of the GroSum website (www.grosum.com) and the GroSum performance management platform ("Service") operated by GroSum ("we", "our", "us"). By accessing or using our Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing the platform, or using any part of our Service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
GroSum is a cloud-based performance management platform that provides tools for performance reviews, 360° feedback, OKR/goal management, check-ins, pulse surveys, and compensation management. The specific features available depend on your subscription plan and selected modules.
3. Account Registration & Security
- You must provide accurate and complete registration information
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized access to your account
- You are responsible for all activities that occur under your account
- One person may not maintain more than one account
4. Subscription & Payment
- Access to the platform requires an active paid subscription or free trial
- Pricing is based on the modules selected and the number of users, as agreed in your order form
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable unless otherwise stated in your agreement
- We reserve the right to modify pricing with 30 days' notice before your next renewal
5. Free Trial
We may offer a free trial period. During the trial, you receive access to specified features at no charge. At the end of the trial, your account will require a paid subscription to continue accessing the platform. We reserve the right to modify or discontinue free trials at any time.
6. Your Data & Content
- Ownership: You retain ownership of all data you or your users submit to the platform ("Your Data")
- License: You grant us a limited license to process Your Data solely for the purpose of providing the Service
- Responsibility: You are responsible for the accuracy, quality, and legality of Your Data and the means by which you acquire it
- Data Export: You may export Your Data at any time during your active subscription
- Deletion: Upon account termination, Your Data will be deleted within 90 days unless retention is required by law
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any part of the Service or its systems
- Reverse engineer, decompile, or disassemble any aspect of the platform
- Use the Service to store or transmit malicious code, viruses, or harmful content
- Resell, sublicense, or redistribute the Service without written consent
- Use automated tools to scrape, crawl, or extract data from the platform
- Interfere with the Service's performance or other users' experience
8. Intellectual Property
The GroSum platform, including its design, code, features, documentation, branding, logos, and all related intellectual property, are owned by GroSum and protected by applicable laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service during your subscription.
9. Service Availability & Support
- We aim for 99.9% uptime but do not guarantee uninterrupted access
- Scheduled maintenance will be communicated in advance where possible
- Customer support is available via email during business hours
- Enterprise plans may include dedicated support and SLAs as agreed separately
10. Limitation of Liability
To the maximum extent permitted by law:
- GroSum is provided "as is" without warranties of any kind, express or implied
- We do not warrant that the Service will be error-free or uninterrupted
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- We are not liable for data loss resulting from circumstances beyond our reasonable control
11. Indemnification
You agree to indemnify and hold GroSum harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
- You may terminate your subscription at any time by contacting us
- We may suspend or terminate your access for violation of these Terms with reasonable notice
- Upon termination, your right to use the Service ceases immediately
- Sections relating to ownership, liability, and indemnification survive termination
13. Modifications to Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal, India.
